Welcome to Impredek. These Terms of Service ("Terms") govern your access to and use of the Impredek platform, website, and related services (collectively, the "Service"). By accessing or using the Service, you agree to be bound by these Terms.

1. Acceptance of Terms

By creating an account or using the Service, you acknowledge that you have read, understood, and agree to be bound by these Terms. If you are using the Service on behalf of an organization, you represent and warrant that you have the authority to bind that organization to these Terms.

2. Eligibility

The Service is available to individuals who are at least 16 years of age. By using the Service, you represent and warrant that you meet this age requirement.

3. Accounts

To use the Service, you must create an account. You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account. You agree to notify us immediately of any unauthorized use of your account.

4. Organizations and Workspaces

The Service supports organization workspaces where multiple team members can collaborate. Organization administrators have additional permissions, including managing billing, inviting members, and configuring workspace settings. You are responsible for the actions of members within your organization.

5. Subscriptions and Billing

The Service is offered through tiered subscriptions:

Starter — $49/month
Growth — $99/month
Scale — $249/month
Enterprise — Custom pricing

Subscriptions are billed in advance on a recurring monthly basis. Payment is processed through Paddle. By subscribing, you authorize Paddle to charge your payment method on a recurring basis until you cancel.

All prices are in U.S. dollars unless otherwise noted. Prices do not include applicable taxes, which may be added at checkout as required by law.

6. Acceptable Use

You agree not to:

Use the Service for any unlawful purpose or in violation of any applicable laws or regulations
Upload or transmit malicious code, viruses, or harmful content
Attempt to gain unauthorized access to any part of the Service or its related systems
Interfere with or disrupt the Service or its infrastructure
Use the Service to send unsolicited communications (spam)
Impersonate any person or entity, or misrepresent your affiliation
Scrape, crawl, or use automated means to access the Service without our written permission
Resell or redistribute the Service without our written permission

7. Customer Responsibilities

You are responsible for:

All content you upload, connect, or process through the Service
Ensuring you have the necessary rights and permissions for any content you provide
Complying with applicable laws regarding the collection and processing of personal data through the Service
The actions of your team members within your organization

8. Customer Data

You retain ownership of all data you provide to the Service. You grant us a limited license to process your data solely for the purpose of providing the Service to you. We will not use your data for purposes other than delivering the Service, including not using your data to train AI models.

9. AI-Generated Output

The Service uses AI models to generate responses, insights, and recommendations. AI-generated output is provided for informational purposes and may contain errors. You are solely responsible for reviewing and verifying any AI-generated content before relying on it for business decisions. We do not guarantee the accuracy, completeness, or reliability of AI-generated output.

10. Third-Party Services

The Service integrates with third-party services (including Supabase, OpenRouter, and Paddle). Your use of these third-party services is governed by their respective terms and privacy policies. We are not responsible for the availability, accuracy, or practices of third-party services.

11. Intellectual Property

The Service, including its design, code, features, and documentation, is owned by Impredek and protected by intellectual property laws. You may not copy, modify, distribute, or reverse-engineer any part of the Service without our written permission.

12. Service Availability

We strive to maintain reliable service availability, but we do not guarantee uninterrupted or error-free operation. We may temporarily suspend or restrict access to the Service for maintenance, updates, or circumstances beyond our reasonable control. We will make reasonable efforts to provide advance notice of planned downtime.

13. Suspension and Termination

We may suspend or terminate your access to the Service if you violate these Terms, engage in activity that poses a security risk, or if required by law. You may terminate your account at any time by contacting support or using the account deletion feature.

Upon termination, your right to use the Service ceases immediately. We will make your data available for export for a reasonable period following termination.

14. Disclaimers

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, OR COMPLETELY SECURE.

15. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, IMPREDEK SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS OR REVENUES, WHETHER INCURRED DIRECTLY OR INDIRECTLY, OR ANY LOSS OF DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES RESULTING FROM YOUR USE OF THE SERVICE. OUR TOTAL LIABILITY SHALL NOT EXCEED THE AMOUNT YOU PAID US IN THE TWELVE (12) MONTHS PRECEDING THE EVENT GIVING RISE TO THE CLAIM.

16. Governing Law

These Terms shall be governed by and construed in accordance with applicable laws, without regard to conflict of law principles. Any disputes arising from these Terms or the Service shall be resolved in the competent courts of the applicable jurisdiction.

17. Changes to These Terms

We may revise these Terms from time to time. We will notify you of material changes by posting the updated Terms on our website and updating the effective date. Your continued use of the Service after any changes constitutes acceptance of the updated Terms.
